The agreement between you and Forgeo for using our AI platform, subscriptions, and connected features.

These Terms of Service (the “Terms”) form a binding contract between you and Forgeo (“Forgeo,” “we,” “us,” or “our”) and govern your access to and use of the Forgeo website at forgeoapp.com, our applications, APIs, integrations, generated outputs, and all related services (collectively, the “Service”).

Please read these Terms carefully. They include important provisions about automatic subscription renewals, limitations of liability, and how disputes are resolved. Our Privacy Policy, Cookie Policy, and Refund Policy are incorporated into these Terms by reference.

1.Introduction

Forgeo is a software-as-a-service platform that helps content creators build, launch, and grow digital products. The Service provides tools that analyze a creator’s public profile and audience, generate business strategies, and produce digital products, launch assets, and marketing materials using artificial intelligence.

These Terms apply to every visitor, registered user, subscriber, and organization that accesses the Service, regardless of how the Service is accessed.

2.Acceptance of Terms

By creating an account, signing in, subscribing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by all policies referenced in them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

If you do not agree to these Terms, you must not access or use the Service.

3.Definitions

The following capitalized terms have the meanings set out below and apply throughout these Terms and our other policies.

3.1Account

A registered user profile that provides access to the Service.

3.2Connected Platform

A third-party service (such as Google, YouTube, or Instagram) that you authorize Forgeo to access on your behalf.

3.3Content

Any material you upload, submit, or provide to the Service, including reference files, brand assets, prompts, notes, images, and audience data.

3.4Outputs

Any material generated by the Service in response to your inputs, including Creator DNA reports, business blueprints, offers, products, cover art, launch kits, and marketing copy.

3.5Subscription

A recurring, paid plan that provides access to specified features of the Service, as described at checkout.

4.Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. The Service is not intended for children and we do not knowingly collect personal information from anyone under 13. See our Privacy Policy for details.

You may not use the Service if you are barred from receiving it under the laws of the United States or any other applicable jurisdiction, or if you have been previously suspended or removed by Forgeo.

5.Accounts

5.1Creation

To use most features of the Service you must create an Account and provide accurate, complete, and current information. You are responsible for keeping your Account information up to date.

5.2Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly at forgeo.support@gmail.com of any unauthorized use of your Account or suspected security incident.

5.3One Account per Person

You may not create more than one Account for yourself or circumvent any usage limit associated with a plan by creating additional Accounts.

6.Google Sign-In

Forgeo offers Google Sign-In as an authentication method. When you sign in with Google, we receive limited profile information from your Google account (typically your name, email address, and profile image) as authorized by you during the OAuth consent flow.

We do not receive your Google password. You can revoke Forgeo’s access to your Google account at any time through your Google security settings. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. 7.Connected Platforms

The Service can connect to third-party platforms that you authorize, such as YouTube and Instagram, to analyze your public content and audience. By connecting a platform, you:

  • Represent that you have the right to grant Forgeo access to the account and its data.
  • Authorize Forgeo to request, store, and process the specific data needed to provide the Service.
  • Agree that your use of each Connected Platform remains subject to that platform’s own terms and policies.

You may disconnect a Connected Platform at any time in your settings. Disconnecting may reduce or disable certain features that rely on that data.

8.User Responsibilities

You are responsible for:

  • The accuracy of information you submit to the Service.
  • Ensuring you have all necessary rights and consents for any Content you upload.
  • Reviewing Outputs before publishing, distributing, selling, or otherwise relying on them.
  • Complying with all applicable laws, including consumer protection, advertising, tax, export control, and intellectual property laws.
  • Maintaining backups of any Content or Outputs you value.

9.Acceptable Conduct

You agree not to, and not to attempt to:

  • Use the Service for any unlawful, fraudulent, harmful, deceptive, defamatory, or infringing purpose.
  • Upload or generate content that is sexually explicit involving minors, that promotes violence, harassment, or discrimination, or that violates the privacy or rights of others.
  • Reverse engineer, decompile, scrape, crawl, or otherwise attempt to extract source code, models, prompts, or non-public data from the Service.
  • Interfere with, overload, or disrupt the Service or its infrastructure, or bypass any rate limits or security controls.
  • Use the Service or Outputs to train, benchmark, or develop a competing product or model.
  • Impersonate another person, misrepresent your affiliation, or access the Service using automated means without our written permission.
  • Resell, sublicense, or share paid Service access.

10.AI Features

The Service uses artificial intelligence, including large language models and image generation models operated by us or by third-party providers such as OpenAI. When you use an AI feature, your prompts, inputs, and selected Content may be transmitted to those providers for the sole purpose of producing your requested Output.

AI Outputs are generated probabilistically based on your inputs and the underlying models. Similar inputs from different users may produce similar Outputs. Forgeo does not warrant that Outputs are unique, accurate, complete, non-infringing, or suitable for any particular purpose.

11.Creator DNA

Creator DNA is a Forgeo feature that analyzes signals from your Connected Platforms and any references you provide to build a structured profile of your voice, audience, and positioning. This profile is used to personalize other features of the Service and to guide AI Outputs so that they align with your creator identity.

Creator DNA is an assistive tool, not a professional opinion. You are responsible for reviewing the profile and confirming that it reflects your intended brand before relying on it.

12.Product Generation

The Service can generate digital products (such as ebooks, workbooks, guides, templates, cover art, launch kits, and marketing copy) based on your inputs, Creator DNA, and selected options.

You are solely responsible for reviewing, editing, fact-checking, and configuring any generated product before you publish, sell, license, or otherwise distribute it. Forgeo does not review Outputs prior to delivery and is not a publisher of your Outputs.

13.Uploaded Content

You retain all rights you already hold in Content you upload to the Service, including PDFs, documents, images, brand assets, and reference material. You grant Forgeo a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display your Content solely to operate, maintain, secure, and improve the Service and to provide it to you.

You represent and warrant that (a) you own or have obtained all rights, permissions, and consents necessary to upload your Content and to grant the license above, and (b) your Content and its use by Forgeo will not violate any law or the rights of any third party.

14.Ownership of Outputs

As between you and Forgeo, and to the extent permitted by applicable law, you own the Outputs generated for you through your use of the Service, subject to your compliance with these Terms and to any rights of third parties (including in models, training data, or embedded assets).

You acknowledge that (a) AI-generated material may not be protectable by copyright in every jurisdiction, (b) other users may generate similar Outputs from similar inputs, and (c) Forgeo makes no representation that Outputs are original, non-infringing, or exclusively yours.

15.Intellectual Property

The Service, including its software, models, prompts, workflows, user interface, branding, documentation, and all related intellectual property, is owned by Forgeo or its licensors and is protected by intellectual property laws. Except for the limited license granted in Section 16, no rights are granted to you by implication, estoppel, or otherwise.

You may not remove any copyright, trademark, or other proprietary notices from the Service or its Outputs.

16.License to Use the Platform

Subject to your compliance with these Terms and payment of any applicable fees, Forgeo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal creative purposes.

17.Subscription Plans

The Service is offered on paid subscription plans described at checkout and at forgeoapp.com/billing. Plans may include monthly or annual billing, feature entitlements, usage limits, and promotional pricing (for example, a discounted first billing cycle).

We may change plans, prices, features, or usage limits from time to time. Changes will not apply retroactively to your current billing cycle and will take effect no earlier than your next renewal, with reasonable notice by email or in-product.

18.Billing

Payments are processed by our payment provider, Stripe, Inc. By subscribing, you authorize Stripe to charge your selected payment method for all fees, taxes, and other charges associated with your plan. You must provide accurate and current billing information and promptly update it if it changes.

All fees are stated in U.S. dollars unless otherwise noted and are exclusive of applicable taxes, which will be added where required.

19.Automatic Renewals

Your subscription renews automatically at the end of each billing cycle at the then-current rate for your plan until you cancel. By subscribing, you consent to these automatic renewals and to the recurring charge of your payment method.

We will attempt to notify you in advance of any material price change that will apply on renewal. If you do not want to renew, you must cancel before the next renewal date as described in Section 20.

20.Cancellation

You may cancel your subscription at any time from your billing settings or by contacting forgeo.support@gmail.com. Cancellation stops future renewals but does not, by itself, terminate your current paid period; you will continue to have access to paid features until the end of the current billing cycle.

21.Refunds

Except as required by law or expressly stated in our Refund Policy, all payments are non-refundable and are not exchangeable for credits.

22.Third-Party Services

The Service integrates with third-party services, including but not limited to Google, YouTube, Instagram, OpenAI, Stripe, analytics providers, and cloud infrastructure providers. These services are not owned or controlled by Forgeo and are governed by their own terms and privacy policies. Forgeo is not responsible for the acts, omissions, or content of any third-party service.

23.Availability

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, third-party outages, or other factors. We may modify, suspend, or discontinue features of the Service at any time with reasonable notice where feasible.

24.Beta Features

From time to time we may make experimental features available and label them as “beta,” “preview,” or similar (“Beta Features”). Beta Features are provided as-is, may change or be discontinued at any time, and may not perform at the level of generally available features. Additional terms may apply.

25.AI Limitations

AI Outputs may be inaccurate, incomplete, outdated, biased, or otherwise inappropriate for your intended use. Outputs are not professional advice and should not be relied on as a substitute for business, financial, legal, tax, medical, marketing, or other professional advice.

You are solely responsible for evaluating whether an Output is appropriate for your use case and for any actions you take based on an Output.

26.Disclaimers

THE SERVICE, INCLUDING ALL CONTENT AND OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

FORGEO DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT OUTPUTS WILL BE ACCURATE OR RELIABLE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

27.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FORGEO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF FORGEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL FORGEO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FORGEO FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

28.Indemnification

You agree to defend, indemnify, and hold harmless Forgeo and its officers, directors, employees, agents, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Content, (b) your Outputs and how you use them, (c) your use of or access to the Service, (d) your violation of these Terms, or (e) your violation of any law or the rights of any third party.

29.Suspension

We may suspend or restrict your access to all or part of the Service, with or without notice, if we reasonably believe that (a) you have violated these Terms, (b) your use poses a security, legal, or reputational risk to Forgeo, our providers, or other users, (c) your Account is being used for abuse, fraud, scraping, illegal activity, API misuse, or attempts to disrupt the Service, or (d) suspension is required by law or by a Connected Platform.

30.Termination

You may terminate these Terms at any time by cancelling your subscription and closing your Account. We may terminate these Terms and your access to the Service at any time, with or without cause, on reasonable notice where practicable. Upon termination:

  • Your right to access the Service will end.
  • We may delete your Content and Outputs after a reasonable retention period, as described in our Privacy Policy.
  • Sections that by their nature should survive termination will survive, including Sections 13–15, 21, and 25–33.

31.Governing Law

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, and by the applicable federal laws of the United States.

32.Dispute Resolution

32.1Informal Resolution

Before filing any formal claim, you agree to try to resolve the dispute informally by contacting forgeo.support@gmail.com and providing a written description of the dispute. We will try to resolve the dispute within 60 days after we receive your notice.

32.2Venue

If the dispute is not resolved informally, and unless otherwise required by applicable law, any judicial proceeding will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

32.3Class Action Waiver

To the maximum extent permitted by law, you and Forgeo agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

33.Binding Arbitration

33.1Agreement to Arbitrate

Except for disputes in which either party seeks equitable relief for the alleged unlawful use of intellectual property, and except for small-claims matters described in Section 33.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and Forgeo (a “Dispute”) that is not resolved under Section 32.1 will be resolved exclusively by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures then in effect.

33.2Arbitrator and Seat

The arbitration will be conducted by a single neutral arbitrator, will be seated in Wilmington, Delaware, and, unless both parties agree otherwise in writing, will proceed on the basis of documents submitted or by videoconference. Judgment on the award may be entered in any court of competent jurisdiction.

33.3No Class or Representative Actions

The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative, collective, or class proceeding. If this limitation is held unenforceable with respect to any claim, that claim will be severed and proceed in court while all other claims proceed in arbitration.

33.4Small Claims Option

Either party may bring an individual action in small-claims court in the county where you reside for any Dispute that qualifies under the court’s jurisdictional rules.

33.5Opt-Out

You may opt out of this arbitration agreement by sending a written notice to forgeo.support@gmail.com within 30 days of first accepting these Terms, stating your full name, the email address associated with your Account, and a clear statement that you decline to arbitrate. Opting out will not affect the remaining provisions of these Terms.

34.Copyright and DMCA

Forgeo respects the intellectual property rights of others and expects users to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) and analogous laws in other jurisdictions.

To submit a notice of alleged infringement, send an email to forgeo.support@gmail.com with the subject line “DMCA Notice” that includes: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material alleged to be infringing, with information reasonably sufficient to permit us to locate it; (c) your contact information; (d) a statement, under penalty of perjury, that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement that the information in the notice is accurate; and (f) your physical or electronic signature. We may terminate the accounts of users who are the subject of repeated infringement notices.

35.Feedback

If you submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant Forgeo a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, distribute, and otherwise exploit the Feedback for any purpose, without any obligation, restriction, or attribution to you.

36.Publicity

Unless you notify us in writing that you decline, Forgeo may identify you as a customer of the Service and use your name, logo, and publicly available creator handles on our website, in marketing materials, and in investor communications, in each case in accordance with any trademark guidelines you provide.

37.Export Controls and Sanctions

The Service is subject to the export control laws and economic sanctions regulations of the United States and other applicable jurisdictions. You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive U.S. sanctions, and that you are not on any restricted-party list maintained by the U.S. government (including the Specially Designated Nationals List) or by the European Union, United Kingdom, or United Nations. You may not use the Service in violation of any export or sanctions law.

38.U.S. Government Users

The Service is a “commercial product” and “commercial computer software,” as those terms are defined in 48 C.F.R. § 2.101 and 48 C.F.R. § 12.212. If you are a U.S. government end user, the Service is licensed to you with only those rights provided under these Terms.

39.Force Majeure

Forgeo will not be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disruptions, internet or telecommunications outages, or failures of third-party providers.

40.Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them, in whole or in part, without our prior written consent. Any purported assignment in violation of this Section is void. Forgeo may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

41.Notices and Electronic Communications

We may provide notices to you by email to the address associated with your Account, by posting a notice on the Service, or by any other reasonable means. You agree that notices delivered electronically satisfy any legal requirement that a notice be in writing. Notices to Forgeo must be sent to forgeo.support@gmail.com.

42.Miscellaneous

42.1Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Forgeo regarding the Service and supersede all prior or contemporaneous understandings on that subject.

42.2Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified only to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

42.3No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

42.4Independent Contractors

You and Forgeo are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship.

42.5Headings

Section headings are for convenience only and do not affect interpretation.

43.Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product notification) before the changes take effect. Your continued use of the Service after the effective date of a revised version constitutes acceptance of the updated Terms.
